BY CLICKING “I AGREE,” YOU (“YOU” OR “PARTICIPANT”) AGREE TO THE FOLLOWING TERMS AND CONDITIONS (“AGREEMENT”) GOVERNING YOUR PARTICIPATION IN THE VELSERA CERTIFICATION PROGRAM (“PROGRAM”) OFFERED BY VELSERA INC., A DELAWARE CORPORATION (“VELSERA”).

1. PROGRAM OVERVIEW
   Velsera may offer certain training courses and certification programs, including but not limited to the "Velsera Variant Analyst Certification" (each a “Course”), designed to demonstrate user proficiency in specific Velsera technologies or analytical methods. Courses may be delivered online and may include assessments or practical exams.
2. ELIGIBILITY & PARTICIPATION
   You may participate in the Program solely for your own learning and certification purposes. Participation requires registration and successful completion of all required modules, including applicable exams.
3. GRANT OF CERTIFICATION & BADGING
   Upon successful completion of the Course and fulfillment of any assessment criteria, Velsera may issue You a digital credential through a third-party badging platform (currently Credly). Such credentials are for individual, non-commercial use and may be shared publicly (e.g., LinkedIn), but may not be altered or misrepresented.
4. INTELLECTUAL PROPERTY
   All materials, content, tools, methods, and courseware provided in connection with the Program (“Velsera Content”) are the proprietary intellectual property of Velsera or its licensors. Velsera grants You a limited, non-exclusive, non-transferable license to access and use the Velsera Content solely for the purpose of completing the Course. No other rights are granted.
5. USE RESTRICTIONS
   You shall not:
   •    Copy, distribute, sublicense, or disclose any Velsera Content except as expressly permitted;
   •    Circumvent or disable any security or digital rights management features of the Course platform;
   •    Represent yourself as certified unless/until officially credentialed by Velsera.
   
   
6. DISCLAIMERS
   THE PROGRAM AND ASSOCIATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” VELSERA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PARTICIPATION IN THE PROGRAM DOES NOT GUARANTEE EMPLOYMENT, JOB PLACEMENT, PROMOTION, OR OTHER BENEFITS.
7. LIMITATION OF LIABILITY
   TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELSERA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE PROGRAM.
8. PRIVACY & DATA SHARING
   Velsera will process personal data in accordance with its Privacy Notice [link]. You consent to Velsera sharing your certification status with Credly and any third parties as necessary to issue your badge. You understand that use of Credly is subject to its own terms and privacy policy.
9. TERMINATION & REVOCATION
   Velsera reserves the right to revoke certification or access to the Program at any time in the event of suspected misuse, misrepresentation, or breach of this Agreement.
10. CHANGES TO TERMS
    Velsera may update these terms from time to time. Continued use of the Program following any updates constitutes your agreement to the updated terms.
11. GOVERNING LAW
    This Agreement shall be governed by the laws of the State of New York, excluding conflict of laws principles. Any dispute shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
